These Terms of Use (“Terms”) form a legally binding agreement between you and CE Guide (“CE Guide,” “we,” “us,” or “our”) governing your access to and use of our website, including any content, features, and functionality made available through it (the “Site”).

1. Acceptance of Terms

By accessing or using the Site, you acknowledge that you have read and understand these Terms and agree to be bound by them. If you do not agree, do not access or use the Site.

Age Requirement. The Site is intended for individuals who are at least eighteen (18) years old. By using the Site, you represent that you are at least 18 years of age.

Privacy Policy. Our Privacy Policy explains how we collect, use, and share information through the Site. By using the Site, you also agree to our Privacy Policy, which is incorporated by reference into these Terms.

2. Website Purpose and Scope

The Site is provided for general informational purposes regarding CE Guide and the professional consulting and administrative services we may offer relating to continuing education programs. CE Guide provides consulting, documentation support, and administrative coordination services in connection with continuing education planning, compliance alignment, and program management. The Site itself does not provide professional services.

The Site is not intended to provide, and should not be relied upon as providing, legal advice, regulatory advice, accreditation advice, medical advice, or professional advice of any kind.

You understand and agree that:

  • information on the Site may not be complete, current, or applicable to your specific circumstances;
  • descriptions of services on the Site are general in nature and do not define the scope of any particular engagement;
  • standards, requirements, and interpretive guidance established by third-party organizations may change at any time;
  • you remain solely responsible for confirming requirements, standards, and obligations applicable to you, including requirements imposed by third parties; and
  • any decisions regarding continuing education programs, compliance, submissions, instructor qualifications, marketing materials, disclosures, participant communications, or related matters are made at your own discretion and risk.

Client Responsibility for Compliance Implementation.
Where CE Guide is engaged through a separate written agreement to provide consulting or administrative services, CE Guide may assist in aligning documentation, processes, and submissions with applicable standards based on information provided. However, the sponsoring organization or client remains solely responsible for:

  • the accuracy and completeness of all course content;
    the accuracy of instructor qualifications and disclosures;
  • compliance with applicable laws, regulations, and third-party program standards;
  • implementation of recommended practices; and
  • representations made to participants, regulators, or third-party organizations.

CE Guide does not independently verify all information provided by clients and reasonably relies on the accuracy and completeness of information supplied.

No Service Engagement Created.
Accessing or using the Site, submitting an inquiry, scheduling a meeting, or communicating with us through the Site does not create a client relationship, engagement, joint venture, agency relationship, fiduciary relationship, or partnership. Any professional services provided by CE Guide are governed exclusively by a separate written agreement executed by you and CE Guide.

3. No Accreditation, Regulatory Authority, or Endorsement

CE Guide is not an accrediting body and does not establish continuing education standards. CE Guide does not act as a governmental regulator, licensing authority, or enforcement body.

Where applicable, CE Guide may operate as a nationally approved program provider under third-party program standards and may award continuing education credit in accordance with the scope and limitations of its approved provider status. Any such approval is defined solely by the applicable third-party organization and is subject to that organization’s standards, criteria, interpretive guidance, and program rules.

CE Guide’s role, whether described on the Site or provided under a separate written agreement, is limited to consulting, administrative coordination, documentation alignment, and, where authorized, awarding continuing education credit within the parameters permitted by the relevant third-party program. CE Guide does not control, interpret, or enforce third-party standards and does not possess authority to bind any third-party organization.

Third-party organizations establish, interpret, modify, and enforce their own standards and make final determinations regarding approval, eligibility, recognition, credit acceptance, or compliance status. CE Guide does not guarantee that any course, submission, application, or program will be approved, accepted, recognized, or deemed compliant by any third party. Final determinations are made solely by the applicable third-party organization and may depend on facts, circumstances, discretionary review, policy changes, or interpretive decisions beyond CE Guide’s control.

Nothing on the Site should be interpreted as:

  • an endorsement by any third party of CE Guide;
  • an endorsement by CE Guide of any third party;
  • a representation that any specific regulatory, accreditation, or compliance outcome will be achieved; or
  • a representation that CE Guide possesses authority beyond the scope of its approved provider status.

References to third-party standards, logos, or program names are used in accordance with applicable program requirements and do not imply sponsorship, partnership, agency, or joint venture unless expressly stated in a separate written agreement.

4. No Professional Advice; No Reliance

The content and information made available on the Site are provided for general informational purposes only. Nothing on the Site constitutes, or should be construed as, legal advice, regulatory advice, accreditation advice, or professional advice of any kind.

You acknowledge and agree that:

  • any decisions you make regarding continuing education programs, compliance, eligibility, submissions, or related matters are made at your own discretion and risk;
  • you will not rely on the Site as a substitute for your own due diligence or for advice from qualified professionals or authoritative third-party sources; and
  • CE Guide is not responsible for any actions you take or refrain from taking based on information obtained through the Site.

5. No Guarantee of Outcomes

CE Guide does not make, and expressly disclaims, any representations or warranties regarding outcomes, including approval, renewal, duration of approved status, acceptance, eligibility, recognition, credit acceptance, or compliance status.

Approval decisions, renewal determinations, and approval intervals are made solely by the applicable third-party organization in accordance with its standards, policies, and discretionary review processes. Such determinations may vary based on the facts presented, interpretive guidance, policy changes, discretionary judgment, or revisions to program criteria beyond CE Guide’s control.

You acknowledge and agree that:

  • third-party standards, criteria, and interpretations may change at any time, with or without notice;
  • approval duration or renewal interval, if granted, is determined exclusively by the applicable third-party organization;
  • outcomes may be affected by the accuracy, completeness, or timeliness of information provided by you or other third parties;
  • past approvals, prior durations, or prior outcomes do not guarantee future results.

Where CE Guide is engaged pursuant to a separate written agreement to provide consulting or administrative services, CE Guide’s role is limited to providing guidance and coordination based on information reasonably available at the time of engagement. CE Guide does not guarantee that any application, submission, or program will be approved or renewed for any specific period.

6. Relationship to Paid Services

Any professional or consulting services provided by CE Guide are governed exclusively by a separate written agreement executed by you and CE Guide. The terms of that agreement control in the event of any conflict between these Terms and the applicable service agreement.

Descriptions of services on the Site are general in nature and are provided for informational purposes only. Such descriptions do not amend, expand, or supersede the terms of any executed written agreement and do not create any binding obligation absent a signed contract.

No statement on the Site creates any obligation to achieve a particular approval decision, renewal outcome, approval duration, or regulatory status.

Where services involve coordination with third-party organizations, final determinations regarding approval, renewal, compliance status, or credit acceptance are made solely by the applicable third party.

7. User Responsibilities

You agree to use the Site only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your access to and use of the Site complies with all applicable laws, rules, and regulations.

Without limiting the foregoing, you agree that you will not:

  • use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site;
  • attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, servers, or networks connected to the Site;
  • introduce viruses, malware, or other harmful code;
  • use the Site to transmit false, misleading, unlawful, defamatory, or otherwise objectionable material; or
  • use the Site in a way that misrepresents your affiliation with CE Guide or any third party.

We reserve the right to restrict or terminate access to the Site at any time if we believe your use violates these Terms or may harm CE Guide, other users, or third parties.

8. Intellectual Property

The Site and all content made available through it, including text, graphics, logos, design elements, and other materials (collectively, the “Content”), are owned by or licensed to CE Guide and are protected by applicable intellectual property laws.

Subject to these Terms, CE Guide grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for your internal, non-commercial informational purposes only. Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, display, publish, create derivative works from, or otherwise exploit any Content without CE Guide’s prior written consent.

Nothing in these Terms transfers or grants you any ownership interest in the Site or the Content.

9. Third-Party Links and Resources

The Site may contain links to third-party websites, resources, or services that are not owned or controlled by CE Guide. Such links are provided for convenience only and do not constitute an endorsement, sponsorship, or recommendation by CE Guide.

CE Guide has no control over, and assumes no responsibility for, the content, policies, practices, availability, or accuracy of any third-party websites or resources. Your access to and use of third-party websites or resources is at your own risk and subject to the terms and policies of those third parties.

10. Disclaimers of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CE GUIDE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

WITHOUT LIMITING THE FOREGOING, CE GUIDE DOES NOT WARRANT THAT:

  • the Site or any Content will be accurate, complete, current, or suitable for your purposes;
  • access to the Site will be uninterrupted, timely, secure, or error-free; or
  • any defects or errors will be corrected.

You acknowledge that use of the Site is at your sole risk.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CE GUIDE, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT, EVEN IF CE GUIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT LIABILITY IS NOT OTHERWISE EXCLUDED, CE GUIDE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), OR THE MINIMUM AMOUNT REQUIRED BY LAW, WHICHEVER IS GREATER.

Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under applicable law, including liability for fraud or willful misconduct.

12. Indemnification

You agree to defend, indemnify, and hold harmless CE Guide and its owners, officers, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • your access to or use of the Site;
  • your violation of these Terms; or
  • your violation of any applicable law or the rights of any third party.

CE Guide reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with CE Guide in asserting any available defenses.

13. Termination and Access Control

CE Guide may, at its sole discretion, suspend, restrict, or terminate your access to the Site at any time and for any reason, including if we believe that your use violates these Terms or may harm CE Guide, other users, or third parties.

You may discontinue use of the Site at any time. Sections of these Terms that by their nature should survive termination, including disclaimers, limitation of liability, indemnification, and governing law, shall survive any termination of these Terms.

14. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located within the State of Florida, and you consent to the personal jurisdiction and venue of such courts.

15. Changes to These Terms

CE Guide may update these Terms from time to time. When changes are made, we will update the “Last Updated” date at the top of this page. Your continued use of the Site after updated Terms are posted constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, your sole remedy is to discontinue use of the Site.
